Terms of Service

Last updated 23 October 2026

These terms are an agreement between Vialynx Inc., 873 US Route 1 #1196, North Brunswick, NJ 08902, USA (“Vialynx”, “we”, “us”), and the business that uses Vialynx CRM (the “Customer”, “you”). They cover the Service at crm.agenticures.com and the forms, chat, booking and brochure pages it provides. By signing in or using the Service you agree to them. If you accept them for a business, you confirm you are allowed to bind that business.

If you have a signed order form or agreement with us, it applies together with these terms, and it wins where the two differ.

1. The Service

Vialynx CRM is an online system for managing leads, students, customers, deals, invoices, tasks and follow-up, with optional website forms, a chat assistant, booking pages, course brochures, email and a phone agent. Access is by invitation. We keep improving the Service and may add, change or remove features. We will not make a change that significantly reduces the core features of a paid plan during the period you have paid for without telling you first.

2. Accounts and users

  • The account owner invites users and sets each user’s role and permissions. You are responsible for what your users do in the Service.
  • Each user must have their own login. Keep passwords and API keys secret, and tell us straight away at contact@vialynx.com if you think someone has unauthorised access.
  • Each business has one account. Users must be at least 18.

3. Your data

  • You own your data. Everything you or your users put into the Service, and everything collected through your forms, chat, booking pages and connections (“Customer Data”), remains yours.
  • You allow us to host, copy, process and display Customer Data only as needed to provide, secure and support the Service and to meet legal obligations. We act as your service provider (processor) for it, as described in our Privacy Policy.
  • We do not sell Customer Data, use it for advertising, or use it to train AI models.
  • You can export your data while your account is open. We will sign a data processing agreement with you on request.

4. Your responsibilities

You are responsible for the Customer Data you collect and for how you contact people. In particular, you agree to:

  • have a lawful basis for collecting and using personal information, give people a clear privacy notice, and get consent where the law requires it, including under India’s Digital Personal Data Protection Act, 2023, the EU and UK GDPR, and US state privacy laws;
  • follow the rules on calls, messages and email that apply to you, such as India’s TRAI rules on commercial communications and do-not-disturb preferences, the US CAN-SPAM Act and Telephone Consumer Protection Act, and WhatsApp’s own policies;
  • respect opt-outs. The Service blocks follow-up messages to anyone marked as opted out, and you must not get around this;
  • get a parent’s or guardian’s consent where the law requires it before collecting or using information about children, including students under 18;
  • make sure that offers, prices, course facts and other claims you send are accurate and that you can honour them; and
  • not upload more sensitive information than you need (for example government ID numbers, bank or card details, or health information), and only where the law allows it.

5. Acceptable use

You must not, and must not let anyone else:

  • send spam or messages to people who have not agreed to hear from you, including people on bought or rented lists;
  • use the Service for anything unlawful, misleading, harassing or harmful, or to store or send content you have no right to use;
  • upload malware, try to get into other accounts or our systems, or test the Service’s security without our written permission;
  • overload the Service, get around usage limits, or collect data from it with automated tools other than our published APIs;
  • copy, resell or reverse engineer the Service, or use it to build a competing product; or
  • pretend to be someone else, or use the chat or phone agent to hide that people are dealing with an automated system where the law requires you to say so.

6. AI features

The chat assistant, in-app assistant, suggested messages, analytics summaries and phone agent use AI. AI output can be wrong or incomplete. You are responsible for reviewing it before you rely on it or send it. The Service adds safeguards, such as only allowing prices that appear in your course facts or approved offers, but these do not replace your own review. If you use the phone agent, you are responsible for telling callers they are talking to an AI and, where the law requires, getting their consent to record the call.

7. Other services

The Service can work with services we do not control, such as your email provider, WhatsApp, Google Calendar, Make, Facebook Lead Ads and Vapi. Your use of them is governed by their own terms. We are not responsible for them, and if they change or stop working, the related features may stop working too.

8. Fees

  • Fees are as shown in your plan or order form. Unless that says otherwise, fees are billed in advance, are not refundable, and do not include taxes, which you pay.
  • We will give you at least 30 days’ notice of a price change. It applies from your next billing period.
  • If payment is more than 15 days late, we may suspend the account after telling you.
  • Free, trial and preview features are provided as they are, and we may change or end them at any time.
  • Fair-use limits may apply to the AI and messaging features. If you are likely to go over them, we will tell you before charging for more.

9. Suspension

We may suspend access, in whole or in part, if we reasonably believe it is needed to stop a security threat, a breach of section 5 or illegal activity, or because of unpaid fees. Where we can, we will warn you first and restore access as soon as the problem is fixed.

10. Ending the agreement

  • Unless your order form says otherwise, the Service runs month to month. You can cancel at any time, and cancellation takes effect at the end of the current billing period.
  • Either side may end the agreement if the other seriously breaches it and does not fix the breach within 30 days of written notice.
  • After the agreement ends, you can ask us for an export of your data for 30 days. After that we delete it, and copies in backups expire within a further 30 days.
  • Sections 3, 4 and 11 to 16 continue after the agreement ends.

11. Confidentiality

Each side will keep the other’s non-public information confidential, use it only for this agreement, and share it only with people who need it and are bound to keep it confidential. This does not apply to information that is public through no fault of the receiving side, that it already had or developed independently, or that it must disclose by law (after warning the other side, where allowed).

12. Intellectual property

We own the Service, its software, design and the Vialynx name. These terms give you the right to use the Service while the agreement lasts; they do not transfer any ownership. If you send us ideas or feedback, we may use them without any obligation to you.

13. Warranties and disclaimers

We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided “as is” and “as available”. We do not promise that it will be uninterrupted or error free, or that it will produce any particular number of leads, admissions, sales or other results. Any uptime commitment applies only if it is in your order form.

14. Limitation of liability

To the extent the law allows:

  • neither side is liable for indirect or consequential losses, or for lost profits, revenue, business or goodwill; and
  • each side’s total liability under this agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim, or US$100 if you have paid nothing.

These limits do not apply to your payment obligations, your obligations under sections 4 and 5, either side’s obligations under section 15, or liability for fraud, gross negligence, wilful misconduct or anything else that cannot legally be limited.

15. Claims by others

You will defend us against, and pay any amounts awarded or agreed in settlement of, third-party claims that arise from your Customer Data, your messages or calls, or your breach of sections 4 or 5. We will do the same for you for third-party claims that the Service, as we provide it, infringes their intellectual property rights. The side asking for this protection must tell the other side promptly, let it control the defence and settlement, and give reasonable help.

16. Governing law

These terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law rules. The state and federal courts located in Middlesex County, New Jersey, have exclusive jurisdiction, except that either side may seek urgent relief in any court that has jurisdiction. Nothing in these terms takes away rights that the law where you are based says cannot be excluded.

17. General

  • Changes to these terms. We may update these terms. If a change is significant, we will tell the account owner at least 30 days before it takes effect. If you continue to use the Service after that, the new terms apply.
  • Notices. We will send notices to the account owner’s email address. Send notices to us at contact@vialynx.com.
  • Events beyond control. Neither side is responsible for delays caused by events beyond its reasonable control, such as outages at internet or cloud providers, natural disasters or government action. This does not apply to payment obligations.
  • Transfer. Neither side may transfer this agreement without the other’s consent, except to a company that takes over all or most of its business.
  • Whole agreement. These terms, the Privacy Policy and any order form or data processing agreement are the entire agreement between us. If a part is unenforceable, the rest still applies. Not enforcing a right is not a waiver of it.
